Terms of Service

1. Agreement to Terms

By accessing or using the AegisWhite platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

AegisWhite provides whitelabel security monitoring services for hosting providers, including but not limited to port scanning, credential monitoring, dark web monitoring, and alerting capabilities. Services are delivered through our platform and integrated via WHMCS and other supported billing systems.

3. Partner Accounts

To use the Services, you must register for a partner account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the integrity of the Services
• Use the monitoring capabilities against systems you do not have authorization to monitor

5. Whitelabel Rights

Subject to these Terms, AegisWhite grants you a non-exclusive, non-transferable right to resell the Services under your own brand to your end customers. You are responsible for your relationship with your end customers, including support and billing.

6. Fees and Payment

Fees for the Services are based on our published pricing or as agreed in your partner agreement. You agree to pay all fees in accordance with the payment terms. We reserve the right to modify pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Services, including all software, content, and documentation, are owned by AegisWhite and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as explicitly provided for whitelabel purposes.

8. Data and Security

We take reasonable measures to protect the data processed through our Services. However, no method of transmission or storage is completely secure. You acknowledge that you are responsible for the security of data you transmit to the Services and for compliance with applicable data protection laws in your jurisdiction.

9. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, whether planned or unplanned.

10. Limitation of Liability

To the maximum extent permitted by law, AegisWhite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from these Terms or the Services shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

11. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases, and we may delete your account data after a reasonable retention period.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.
